Terms and conditions.

These Terms and Conditions ("Terms") govern the provision of architectural design, planning, consultancy, project management, construction, renovation, and related services by INHAUS ("INHAUS", "we", "our", "us") to the client ("Client", "you", "your").

By accepting a quotation, signing a proposal, making payment, or instructing INHAUS to commence work, you agree to be bound by these Terms.

1. OUR SERVICES

1.1 INHAUS provides architectural design services, construction services, renovation works, project management, consultancy, procurement assistance, and related services.

1.2 Architectural and technical services may be provided directly by INHAUS or through suitably qualified chartered professionals, architects, surveyors, consultants, and structural engineers engaged by us where required.

1.3 Construction services may be carried out:

  • By INHAUS employees;

  • By approved subcontractors;

  • Through our network of contractors and suppliers; or

  • Through a combination of the above.

1.4 Any drawings, designs, plans, specifications, visualisations, or reports provided by INHAUS remain subject to these Terms.

2. QUOTATIONS

2.1 All quotations are valid for thirty (30) days unless otherwise stated.

2.2 Quotations are based on information available at the time of pricing and may be revised where:

  • Site conditions differ from those reasonably anticipated;

  • Additional work is requested;

  • Regulatory requirements change;

  • Materials become unavailable; or

  • Supplier costs materially increase.

2.3 Unless expressly stated, quotations exclude:

  • Statutory application fees;

  • Planning fees;

  • Building Control fees;

  • Party Wall costs;

  • Utility company charges;

  • Legal fees;

  • Finance costs;

  • Specialist surveys.

3. DEPOSIT AND PAYMENT TERMS

3.1 Unless otherwise agreed in writing, a deposit equal to fifty percent (50%) of the quotation value is required before work commences.

3.2 Work will not be scheduled, ordered, commenced, or reserved until the required deposit has cleared.

3.3 The remaining balance shall be payable:

  • Upon completion; or

  • In accordance with agreed stage payments set out in the quotation.

3.4 INHAUS reserves the right to issue interim invoices for completed stages of work.

3.5 Payments are due within seven (7) days of invoice unless otherwise agreed.

3.6 Late payments may incur:

  • Interest at 8% above the Bank of England base rate; and

  • Reasonable debt recovery costs.

3.7 Ownership of materials and goods supplied remains with INHAUS until payment has been received in full.

4. CLIENT RESPONSIBILITIES

The Client shall:

4.1 Provide accurate information and instructions.

4.2 Provide safe and reasonable access to the property.

4.3 Obtain any permissions from landlords, freeholders, management companies, neighbours, or third parties where required.

4.4 Ensure all necessary utilities are available where construction works are being carried out.

4.5 Promptly review and approve drawings, proposals, specifications, and variations.

4.6 Inform INHAUS of any known defects, hazards, asbestos, contamination, structural concerns, or other material issues.

5. DESIGN SERVICES

5.1 Design concepts, drawings, visualisations, and plans are prepared based upon information available at the time.

5.2 The Client acknowledges that planning approval, building regulations approval, and other consents cannot be guaranteed.

5.3 Design revisions requested after approval may be chargeable.

5.4 Structural calculations and engineering assessments will be undertaken only where specifically instructed and may incur additional fees.

5.5 Dimensions shown on drawings should not be relied upon for construction purposes unless specifically confirmed as construction drawings.

6. PLANNING AND REGULATORY APPROVALS

6.1 INHAUS may assist with applications for:

  • Planning Permission;

  • Building Regulations approval;

  • Lawful Development Certificates;

  • Listed Building Consent; and

  • Other statutory approvals.

6.2 The Client acknowledges that approval decisions remain solely at the discretion of the relevant authority.

6.3 INHAUS accepts no liability for refusal, delay, conditions imposed by authorities, or changes in policy.

7. CONSTRUCTION SERVICES

7.1 Construction programmes and completion dates are estimates unless expressly stated otherwise.

7.2 Delays may occur due to:

  • Weather;

  • Supply chain disruptions;

  • Labour shortages;

  • Variations;

  • Client instructions;

  • Regulatory requirements;

  • Unforeseen site conditions; or

  • Events beyond our control.

7.3 Existing buildings may contain concealed defects not visible during inspection. Any necessary remedial works discovered during construction shall be treated as additional works.

7.4 INHAUS may substitute equivalent materials where original materials become unavailable.

7.5 Minor deviations in colour, finish, texture, dimensions, or appearance shall not constitute defects where they are within normal industry tolerances.

8. VARIATIONS

8.1 Any change requested by the Client after acceptance of a quotation shall constitute a Variation.

8.2 Variations may affect:

  • Cost;

  • Programme;

  • Scope of work; and

  • Completion dates.

8.3 INHAUS reserves the right to require written approval before commencing variation works.

8.4 Additional works not included within the original quotation shall be charged separately.

9. SUBCONTRACTORS AND THIRD PARTIES

9.1 INHAUS may engage subcontractors, consultants, suppliers, and specialists as required.

9.2 While INHAUS exercises reasonable care in selecting third parties, we shall not be liable for matters beyond our reasonable control.

9.3 Any warranties provided by manufacturers or suppliers shall pass directly to the Client where applicable.

10. SITE CONDITIONS

10.1 Quotations are based upon visible conditions at the time of inspection.

10.2 Hidden defects including structural failure, rot, damp, asbestos, contamination, inadequate foundations, or unsafe installations may require additional works.

10.3 Such works shall be treated as variations and charged accordingly.

11. HEALTH AND SAFETY

11.1 Clients must not interfere with works, equipment, temporary structures, or site operations.

11.2 Access to active work areas may be restricted for safety reasons.

11.3 INHAUS reserves the right to suspend works where health and safety concerns arise.

12. WARRANTIES

12.1 INHAUS warrants that services will be carried out with reasonable skill and care.

12.2 Any defects attributable to workmanship must be reported within twelve (12) months of practical completion.

12.3 The warranty does not cover:

  • Fair wear and tear;

  • Misuse;

  • Neglect;

  • Lack of maintenance;

  • Third-party alterations;

  • Movement of structures;

  • Acts of nature;

  • Existing defects.

13. LIMITATION OF LIABILITY

13.1 Nothing in these Terms excludes liability where exclusion would be unlawful.

13.2 Subject to clause 13.1, INHAUS's total liability shall not exceed the total fees paid by the Client under the relevant contract.

13.3 INHAUS shall not be liable for:

  • Loss of profit;

  • Loss of business;

  • Loss of revenue;

  • Consequential loss;

  • Indirect loss; or

  • Economic loss.

13.4 The Client acknowledges that construction and design services involve professional judgment and that outcomes may be influenced by factors outside INHAUS's control.

14. INTELLECTUAL PROPERTY

14.1 All drawings, plans, designs, concepts, specifications, visualisations, and documentation remain the intellectual property of INHAUS unless otherwise agreed in writing.

14.2 Full payment grants the Client a non-transferable licence to use the documents solely for the intended project.

14.3 Documents may not be copied, reproduced, sold, transferred, or used for another project without written consent.

15. PHOTOGRAPHY AND MARKETING

15.1 INHAUS may photograph completed projects for portfolio, marketing, social media, website, and promotional purposes.

15.2 No personal information identifying the Client shall be published without consent.

15.3 Clients may opt out by notifying INHAUS in writing prior to project completion.

16. TERMINATION

16.1 Either party may terminate the agreement by written notice.

16.2 If the Client terminates:

  • Deposits are non-refundable once work has commenced;

  • The Client shall pay for all work completed to date;

  • The Client shall reimburse all committed costs and materials ordered.

16.3 INHAUS may suspend or terminate services where:

  • Payments remain overdue;

  • The Client breaches these Terms;

  • Health and safety concerns arise; or

  • Continued performance becomes impractical.

17. FORCE MAJEURE

17.1 INHAUS shall not be liable for delays or failures caused by events beyond its reasonable control including:

  • Extreme weather;

  • Floods;

  • Fire;

  • Pandemic;

  • Industrial disputes;

  • Supply shortages;

  • Government action;

  • Utility interruptions; or

  • Other force majeure events.

18. COMPLAINTS

18.1 Complaints should be submitted in writing within fourteen (14) days of the issue arising.

18.2 INHAUS will investigate complaints and seek to resolve them within a reasonable period.

19. DATA PROTECTION

19.1 INHAUS shall process personal data in accordance with applicable UK data protection legislation.

19.2 Personal information shall only be used for legitimate business purposes, legal compliance, and service delivery.

20. GOVERNING LAW

20.1 These Terms shall be governed by and construed in accordance with the laws of England and Wales.

20.2 Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

21. ENTIRE AGREEMENT

21.1 These Terms, together with any quotation, proposal, specification, or written agreement issued by INHAUS, constitute the entire agreement between the parties.

21.2 No variation to these Terms shall be effective unless agreed in writing by both parties.
